Description:

Role Overview:
We are seeking an experienced and detail-oriented Contract Manager to oversee and optimize the lifecycle of our contracts, including Master Service Agreements (MSAs), partner agreements, vendor contracts, and SaaS-specific agreements. This individual will play a critical role in managing negotiations, supporting cost-saving initiatives, assessing risks, pricing and quoting, and ensuring compliance with legal and business standards.

Responsibilities:
Contract Drafting and Negotiation:
- Draft, review, redline, and negotiate contracts such as MSAs, SaaS agreements, vendor contracts, reseller agreements, NDAs, and other commercial agreements.
- Collaborate with internal stakeholders to ensure contracts align with financial policies and organizational objectives.
- Negotiate pricing structures, terms, and conditions to achieve cost savings while mitigating risks.

Contract Management:
- Establish and maintain a centralized contract management system for tracking agreement lifecycles.
- Monitor contract expiration dates and proactively manage renewals or terminations.
- Ensure compliance with legal regulations, company policies, and industry standards.

Risk Assessment and Mitigation:
- Analyze contractual risks and provide recommendations to safeguard the company’s interests.
- Identify potential liabilities in agreements related to indemnification, limitations of liability, warranties, etc.

Cross-functional Collaboration:
- Serve as the primary liaison between legal, procurement, sales, finance, and other teams during contract negotiations.
- Support the RFP process by conducting preliminary reviews and identifying contract exceptions.

Reporting and Optimization:
- Prepare reports on contract performance metrics and cost savings achieved.
- Continuously improve contract templates and processes to enhance efficiency.

Requirements:

What You\'ll Bring:
- Bachelor’s degree in Business Administration, Law, Finance, or a related field.
- Minimum of 5 years of experience in contract management or negotiation roles within SaaS or technology industries.
- Proficiency in contract law principles and SaaS-specific concepts (e.g., software licensing terms, SLAs).
- Strong negotiation skills with a track record of securing favorable terms in complex agreements.
- Experience with contract management systems or SaaS tools for tracking agreement lifecycles.
- Excellent communication skills (written and verbal) for interfacing with internal teams and external partners.
- High attention to detail with strong organizational skills.

Preferred Skills:
- Familiarity with revenue recognition issues related to software contracts.
- Ability to work effectively in fast-paced environments while managing multiple priorities.
- Advanced proficiency in Microsoft Office Suite and contract management software.
